Welcome to Neera Sleep (the "Website"), operated by FeelosophyLabs Inc. ("Neera", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of neerasleep.com and any related pre-order reservations, waitlist subscriptions, and services we provide.

By accessing the Website, joining our waitlist, or placing a pre-order reservation, you agree to be bound by these Terms and all applicable laws. If you do not agree, please do not use the Website.

1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use this Website, join our waitlist, or place a pre-order reservation.

2. About the Product
Neera Sleep is a consumer wellness device currently in active development. All references to features, specifications, design, software functionality, and programs on this Website are preliminary and subject to change until the product is commercially released. Images, renderings, and videos are illustrative and may differ from the final product.

3. No Medical Advice Disclaimer
Neera Sleep is a wellness product and is not a medical device. It is not intended to diagnose, treat, cure, or prevent any disease, disorder, or medical condition. Content on this Website is for informational purposes only. Always consult a qualified healthcare provider regarding any medical condition.

4. Waitlist
a. Joining the waitlist. By submitting your email, you join our waitlist to receive updates about Neera Sleep, including product news, early access opportunities, and launch announcements.
b. No purchase obligation. Joining the waitlist does not constitute a purchase or a reservation and creates no financial obligation on either party.
c. No guaranteed access. Waitlist membership does not guarantee product availability, access to reservations, or delivery priority.
d. Opt-out. You may unsubscribe at any time via the link in any email we send or by contacting hello@neerasleep.com.

5. Pre-Order Reservation ($99)
a. Nature of the reservation. A pre-order reservation is secured by a $99 non-binding reservation fee (the "Reservation Fee"). Placing a reservation does not constitute a completed sale. No Neera Sleep product is sold, reserved as inventory, or guaranteed for delivery until we notify you that your unit is available and you complete the final purchase.
b. What the Reservation Fee entitles you to:
• Priority access to purchase a Neera Sleep device when it becomes available, ahead of general public availability.
• A locked-in discounted price (the "Reservation Price") applied to your final purchase of a Neera Sleep device, as communicated to you at the time of your reservation.
• The full $99 Reservation Fee will be credited toward your final purchase price.
c. Price lock. The Reservation Price applies to one (1) Neera Sleep configuration per reservation and is valid only while you complete your purchase within the purchase window we provide when we invite you to finalize. If you do not complete your purchase within that window, the Reservation Fee remains refundable as described below, but the Reservation Price is forfeited.
d. Refunds of the Reservation Fee. The $99 Reservation Fee is fully refundable at any time before you complete your final purchase. To request a refund, email hello@neerasleep.com from the address associated with your reservation. Refunds are processed to the original payment method within 14 business days of the request.
e. Estimated availability. We will share an estimated availability window for Neera Sleep when you place your reservation. These estimates are good-faith projections based on current development progress and are not guarantees. Actual timing depends on engineering, manufacturing, certifications, and logistics. We will notify reservation holders of meaningful changes.
f. FTC 30-Day Rule (U.S. customers). Consistent with the U.S. FTC Mail, Internet, or Telephone Order Merchandise Rule, if we are unable to ship your final ordered product within the shipment time stated at the time of your final purchase (or within 30 days if no time is stated), we will notify you and offer you the option to consent to a delay or to cancel your order and receive a full refund.
g. Product specifications. Features, design, pricing outside the locked Reservation Price, and software may evolve before launch. Where changes are material, we will communicate them to reservation holders before requesting final purchase, and you may cancel and receive a full refund of your Reservation Fee.
h. Our right to cancel. We may cancel any reservation at our discretion, including for suspected fraud, payment issues, shipping restrictions, pricing errors, or material changes to product plans. In such cases, the full Reservation Fee will be refunded.
i. One reservation per person. Unless otherwise stated, reservations are limited to one per household or billing address. We reserve the right to refuse or cancel duplicate or bulk reservations.
j. Non-transferability. Reservations are personal to the person who placed them and may not be sold, resold, transferred, or assigned without our prior written consent.k. Shipping, taxes, and duties. Shipping fees, applicable sales tax, VAT, customs duties, and import fees are not included in the Reservation Fee or Reservation Price and will be calculated and charged at the time of final purchase based on your destination.

6. Geographic Availability
We currently accept reservations only from countries listed at checkout. Reservations placed from a country we do not ship to will be refunded. We make no commitment to ship to countries outside our announced service area.

7. User Accounts
If you create an account, you are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorized use. We reserve the right to terminate accounts that violate these Terms.

8. Intellectual Property
All content on the Website — including the Neera name and logo, product designs, images, videos, research notes, copy, and software — is owned by FeelosophyLabs Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or commercially exploit any content without our prior written consent.

9. User Conduct
You agree not to use the Website to:
• Violate any law or regulation.
• Infringe the rights of others.
• Upload malicious code or attempt unauthorized access.
• Impersonate any person or entity.
• Interfere with the operation of the Website.

10. Third-Party Links and Services

To the maximum extent permitted by law, FeelosophyLabs Inc., its officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of your use of the Website or any reservation — including loss of data, profits, or goodwill. Our total aggregate liability for any claim relating to a reservation shall not exceed the amount of the Reservation Fee paid by you for that reservation.Nothing in these Terms limits liability that cannot be excluded under applicable law.

13. Indemnification
You agree to indemnify and hold FeelosophyLabs Inc. harmless from any claim, liability, damages, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Website.

14. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised effective date. Material changes that affect existing reservations will be communicated to reservation holders by email. Your continued use of the Website after an update constitutes acceptance of the revised Terms.

15. Termination
We may suspend or terminate your access to the Website at our discretion, with or without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Website shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits mandatory consumer rights available to you under the laws of your country of residence.

17. Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
